1. Four months replacement policy
1.1 Our executive selection service is covered by an undertaking to conduct a replacement assignment at no
consulting fee if the appointee either resigns or is terminated (which is not due to job being redundant, business
rationalisation, company takeover, change in job description or closure of a business) within four calendar
months after the commencement of employment.
1.2 This undertaking is conditional on the client meeting our terms of business and conditions of engagement in the
first instance. These terms include payment of invoice within thirty days. The cost to the client of such a replacement assignment will be confined to out-of-pocket expenses such as advertising and travel.
1.3 If a replacement is not required at the time of termination, People One will credit the fee paid to our next executive
selection assignment for your organisation.

2. Confidentiality assured
2.1 People One will not, without the agreement of the client, disclose to any unauthorised party confidential
information entrusted to the consultant by the client.
2.2 People One will not disclose any candidate's details without the permission of the candidate.
2.3 All consultants' reports regarding candidates are confidential and should not be shown to any unauthorised
party. All reports that relate to candidates who are not appointed should be destroyed by the client as soon as
practical, once the decision has been made not to appoint.
2.4 All discussions, negotiations and terms and conditions of contracts between People One and the client will be
regarded as "Commercial in Confidence" and will not be disclosed to any third party without written approval by
the other party.

3. Other undertakings
3.1 People One undertakes to maintain a non-discrimination policy in respect of all candidates.
3.2 People One will not approach any employee of our client organisation regarding alternative employment.

4. Fees
4.1 The Company's consultancy fees for the introduction of a Candidate for a permanent position are expressed as a
percentage of the first year's commencing total remuneration package. The total remuneration package includes
(but is not limited to) salary, allowances, superannuation, provision of a car, and any non-cash benefits.
The rates based on level of package are as follows:

Between $100,000 to $150,000 18%
Over $150,000 20%


4.2 The provision of a motor vehicle to the Candidate shall be valued at $15,000.00, or at the actual cost to the
Client, whichever is greater.
4.3 Contracting rates are normally at a margin of 33% on top of employee cost. This includes the salary on costs we
incurred.

5. Costs
5.1 If candidates are required to travel out of town for initial or final interviews, we will seek your approval
regarding the travel and accommodation charges involved.
5.2 Out-of-pocket expenses incurred in the execution of the assignment (eg ISD/STD telephone calls, courier
expenses etc) will be invoiced at cost (net of any GST input tax credit to which we are entitled) plus applicable
GST.

6. Payment
6.1 The terms of payment for People One are fourteen days.

7. Application and Acceptance
7.1 Written or oral instructions by the Client to the Company to supply Candidates will be deemed as the Client's
acceptance of these Terms and Conditions regardless of whether the Client signs these Terms & Conditions.

8. Construction and Jurisdiction
8.1 This Agreement is governed by the laws of New South Wales, and the parties submit to the jurisdiction of the
courts of New South Wales with respect to any action that is brought for the enforcement of this Agreement.
8.2 Any amendment of this Agreement shall be in writing, and any given provisions of this Agreement shall be
deemed to continue in force unchanged unless and until it is expressly stated in writing to be varied.
